Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Nexus Elite (the “Service”), operated by [Legal entity name](“Nexus Elite,” “we,” “us”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Nexus Elite is a software platform for creative and marketing agencies to manage clients, projects, scheduling, invoices, contracts, proposals, and internal communication. Features available to your account depend on your subscription plan and role within your agency.

2. Accounts

Eligibility

You must be at least 18 years old and capable of forming a binding contract to create an account. If you create an account on behalf of an agency or business entity, you represent that you have authority to bind that entity to these Terms.

Account security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized access.

3. Subscriptions and billing

Nexus Elite is offered on a paid subscription basis, following a free trial period. By subscribing, you authorize us and our payment processor (Stripe) to charge your selected payment method on a recurring basis until you cancel.

  • Trial: New agencies receive a 14-day trial. No payment method is required to start the trial.
  • Billing cycle: Subscriptions renew monthly at the price shown at checkout, in U.S. dollars.
  • Cancellation: You may cancel at any time from the billing portal. Cancellation stops future renewals; already-paid periods are not refunded except where required by law.
  • Price changes: We may change subscription pricing with at least 30 days’ notice by email. New pricing takes effect at your next renewal.
  • Read-only mode: If your subscription lapses, becomes past-due, or is canceled, your workspace enters a read-only state. Existing data remains accessible; new changes require an active subscription.

4. Your content

You retain all ownership of client data, project files, messages, proposals, invoices, and any other content you upload to or create within the Service (“Your Content”). You grant Nexus Elite a limited, non-exclusive license to host, process, and display Your Content solely as needed to operate the Service and provide it to your team.

You are responsible for Your Content, for having the right to upload and use it, and for ensuring it does not violate any third party’s rights or applicable law.

5. Acceptable use

You agree not to:

  • Use the Service to send spam, phishing, or unsolicited commercial email;
  • Upload content that is unlawful, infringing, defamatory, or violates another party’s privacy;
  • Attempt to gain unauthorized access to any account, server, or data;
  • Reverse-engineer, decompile, or attempt to derive source code from the Service;
  • Resell, sublicense, or provide the Service to third parties outside your agency without written consent;
  • Use the Service to compete with Nexus Elite or to develop a competing product.

6. Third-party services

The Service integrates with third-party providers including Supabase (auth and data storage), Stripe (payments), and Resend (email delivery). Your use of the Service is also subject to those providers’ terms and privacy policies where applicable.

7. Termination

You may terminate your account at any time by canceling your subscription and requesting account deletion. We may suspend or terminate your account if you violate these Terms, with or without notice depending on severity. Upon termination, your Content will be retained for up to 30 days for recovery, then permanently deleted.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NEXUS ELITE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY DATA WILL BE FREE FROM LOSS OR CORRUPTION.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXUS ELITE’S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

10. Governing law

These Terms are governed by the laws of the State of [Governing jurisdiction], without regard to its conflict of law provisions. Any dispute arising from or related to these Terms will be brought exclusively in the state or federal courts located in that jurisdiction.

11. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
